Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and FortMind Pte. Ltd. ("FortMind," "we," "us," or "our") concerning your access to and use of the FortMind autonomous security platform, website, and related services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, do not access or use the Services.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms with a new "Last Updated" date and, where required, notifying you via email. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2.2 Account Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Immediately notify us of any unauthorized access or security breaches
• Accept responsibility for all activities under your account

2.3 Corporate Accounts

If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you and the organization.

3. Services Description

FortMind provides an autonomous security operations center (SOC) platform powered by AI agents that automate alert investigation, threat analysis, and incident response workflows.

3.1 Service Features

The Services include, but are not limited to:

• Automated security alert investigation and triage
• AI-powered attack path analysis and visualization
• MITRE ATT&CK framework mapping and threat intelligence
• Integration with third-party security tools and platforms
• Autonomous remediation recommendations and workflows
• Security analytics, reporting, and dashboards

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Services.

4. Subscription Plans and Payment

4.1 Subscription Tiers

We offer multiple subscription tiers (Starter, Professional, Enterprise) with varying features, usage limits, and pricing. Current pricing is available at fortmind.ai/pricing.

4.2 Payment Terms

• Billing: Subscriptions are billed in advance on a monthly or annual basis
• Payment Method: You must provide a valid payment method and keep it current
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
• Price Changes: We may change pricing with 30 days' notice to existing customers
• Taxes: Fees are exclusive of taxes; you are responsible for applicable taxes

4.3 Refunds and Cancellations

• Cancellation: You may cancel your subscription at any time through your account settings
• Effect of Cancellation: Access continues until the end of the current billing period
• No Refunds: Fees are non-refundable except as required by law or stated in your enterprise agreement
• Trial Periods: Free trials may be canceled anytime without charge

4.4 Overages

If your usage exceeds your plan's limits (alerts processed, users, integrations), additional fees may apply as specified in your subscription plan or enterprise agreement.

5. Acceptable Use

5.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services to transmit malware, viruses, or malicious code
• Attempt to gain unauthorized access to the Services or related systems
• Reverse engineer, decompile, or disassemble the Services
• Remove or obscure proprietary notices or labels
• Use the Services to compete with FortMind or build similar products
• Resell, sublicense, or transfer the Services without authorization
• Interfere with or disrupt the Services or servers/networks
• Use automated means to access the Services except through provided APIs
• Submit false or misleading information
• Violate export control or sanctions laws

5.3 Enforcement

We reserve the right to investigate violations and take appropriate action, including suspending or terminating accounts, removing content, and cooperating with law enforcement.

6. Intellectual Property Rights

6.1 FortMind IP

The Services and all content, features, and functionality (including software, text, images, logos, and design) are owned by FortMind and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only.

6.2 Customer Data

You retain all ownership rights to data you submit to the Services ("Customer Data"). You grant FortMind a worldwide, non-exclusive license to use, process, store, and analyze Customer Data solely to provide and improve the Services.

You represent and warrant that:

• You have the necessary rights to submit Customer Data
• Customer Data does not violate any laws or third-party rights
• You have obtained necessary consents for processing personal data

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant FortMind an unrestricted, perpetual, royalty-free right to use such feedback without obligation to you.

6.4 Trademarks

"FortMind," the FortMind logo, "AdversaryAI," and other marks are trademarks of FortMind. You may not use these marks without our prior written permission.

7. Data Privacy and Security

7.1 Privacy Policy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Data Security

We implement industry-standard security measures to protect Customer Data, including encryption, access controls, and security monitoring. However, no system is completely secure. See our Security & Trust page for details.

7.3 Data Processing Agreement

For enterprise customers processing personal data, a Data Processing Agreement (DPA) is available upon request and governs the processing of personal data under GDPR and other data protection laws.

8. Warranties and Disclaimers

8.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

8.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORTMIND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

We do not warrant that:

• The Services will meet your requirements or be error-free
• The Services will be uninterrupted, secure, or virus-free
• Results obtained from the Services will be accurate or reliable
• All errors will be corrected

8.3 Third-Party Integrations

The Services integrate with third-party security tools. We are not responsible for the functionality, availability, or performance of third-party services.

8.4 AI Accuracy

Our AI-powered analysis provides recommendations based on available data and models. We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs. You are responsible for validating and implementing security decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FORTMIND, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• BUSINESS INTERRUPTION OR SYSTEM FAILURES
• COST OF SUBSTITUTE SERVICES
• SECURITY BREACHES OR UNAUTHORIZED ACCESS NOT CAUSED BY OUR NEGLIGENCE

WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO FORTMIND IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF YOU HAVE NOT PAID ANY FEES.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless FortMind and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Customer Data you submit to the Services
• Your negligence or willful misconduct

11. Term and Termination

11.1 Term

These Terms remain in effect while you access or use the Services.

11.2 Termination by You

You may terminate your account at any time through your account settings or by contacting support.

11.3 Termination by Us

We may suspend or terminate your access immediately if you:

• Violate these Terms or our policies
• Fail to pay applicable fees
• Engage in fraudulent or illegal activities
• Pose a security risk to the Services or other users

11.4 Effect of Termination

Upon termination:

• Your right to access the Services immediately ceases
• We may delete your account and Customer Data after a reasonable retention period
• You remain liable for any fees incurred before termination
• Sections that by their nature should survive (Intellectual Property, Limitation of Liability, etc.) continue to apply

11.5 Data Export

You may export Customer Data through the Services before termination. After termination, we may delete your data in accordance with our data retention policies.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@fortmind.ai to attempt informal resolution.

12.2 Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

12.3 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the Singapore International Arbitration Centre (SIAC) rules, with arbitration conducted in English in Singapore.

12.4 Class Action Waiver

You agree that disputes must be brought on an individual basis only, and not as part of any class or representative action.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and FortMind regarding the Services.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.

13.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

13.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, terrorism, labor disputes, etc.).

13.6 Export Controls

The Services are subject to export control laws. You agree to comply with all applicable export and sanctions laws and not to export or re-export the Services to prohibited countries or entities.

13.7 Government Users

If you are a government entity, the Services are "Commercial Computer Software" and "Commercial Computer Software Documentation" as defined in applicable regulations.
